These Terms of Service (Terms) govern your access to and use of BrokerGuard.

1. Acceptance of terms
By creating an account, accessing, or using BrokerGuard, you agree to be bound by these Terms. If you do not agree, you must not use the service.
2. Service scope
BrokerGuard provides workflow tools for compliance review, document analysis, reporting, and team coordination. BrokerGuard does not provide legal advice, brokerage supervision, or regulatory determinations.
3. Account responsibilities
- You are responsible for maintaining the confidentiality of account credentials.
- You are responsible for all activity conducted under your account.
- You must provide accurate account and billing information and keep it up to date.
- You remain responsible for reviewing and approving all final brokerage content and decisions.
4. Compliance and professional judgment
Outputs, recommendations, and policy guidance are informational and may be incomplete or outdated. You must independently verify applicable laws, commission rules, brokerage policies, and transaction-specific requirements before relying on any output.
This includes state-specific requirements in your selected jurisdiction and applicable federal requirements, including fair housing, advertising, privacy, anti-discrimination, and consumer-protection rules where applicable.
5. Acceptable use
You agree not to misuse BrokerGuard, including by attempting unauthorized access, interfering with service operation, uploading unlawful material, or using the service in violation of applicable law or professional obligations.
6. Billing and subscriptions
Paid features are provided under the selected subscription plan. Fees, plan limits, renewal terms, and cancellation options are presented at checkout or within account billing settings. Unless otherwise stated, fees are non-refundable.
7. Third-party services
BrokerGuard may integrate with third-party providers, including payment, identity, and communication services. Your use of those services may be subject to separate terms and privacy policies controlled by those providers.
8. Intellectual property
BrokerGuard and its associated software, branding, and content are protected by intellectual property laws. Subject to these Terms, BrokerGuard grants you a limited, non-exclusive, revocable right to use the service for internal business purposes.
9. Disclaimer of warranties
BrokerGuard is provided on an as-is and as-available basis, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
10. Limitation of liability
To the fullest extent permitted by law, BrokerGuard and its affiliates are not liable for indirect, incidental, consequential, special, punitive, or exemplary damages, or for loss of profits, revenue, data, or goodwill arising out of or related to use of the service.
11. Indemnification
You agree to indemnify and hold harmless BrokerGuard and its affiliates from claims, liabilities, damages, losses, and expenses arising from your use of the service, your content, or your violation of these Terms or applicable law.
12. Suspension and termination
BrokerGuard may suspend or terminate access for violation of these Terms, non-payment, security risk, or legal compliance requirements. You may stop using the service at any time.
13. Changes to terms
BrokerGuard may update these Terms from time to time. Material changes will be reflected by updating the effective date. Continued use after changes become effective constitutes acceptance of the updated Terms.
14. Governing law
These Terms are governed by the laws of the State of your state of residence and applicable federal law, without regard to conflict-of-law principles, except where mandatory law requires otherwise.

16. Electronic communications and records
By using BrokerGuard, you consent to receive communications electronically, including service notices, invoices, and policy updates. You agree that electronic records and signatures satisfy legal requirements for written communications and signatures to the extent permitted by applicable law.
17. Venue
Unless otherwise required by applicable law, any dispute arising out of or relating to these Terms or the service will be brought in state or federal courts located in your state of residence, and each party consents to personal jurisdiction in those courts.
Where non-waivable state or federal law requires a different forum, venue, or dispute process, those mandatory rules control.
18. Severability and waiver
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Failure to enforce any provision is not a waiver of future enforcement.
19. Assignment
You may not assign or transfer your rights or obligations under these Terms without prior written consent. BrokerGuard may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
20. Survival
Any provisions that by their nature should survive termination, including intellectual property, disclaimers, liability limitations, indemnification, dispute provisions, and payment obligations, will survive termination of your access to the service.
21. Entire agreement
These Terms, together with any incorporated policies, constitute the entire agreement between you and BrokerGuard regarding the service and supersede prior or contemporaneous agreements on the same subject matter.
22. No legal advice
BrokerGuard is a software platform and does not provide legal, tax, or regulatory advice. You are responsible for consulting qualified counsel where legal interpretation or professional advice is required.
23. State-specific regulatory source references
BrokerGuard may use your selected state profile to prioritize public regulatory sources and compliance context for scans and policy snapshots.
